PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE USING THE SERVICES OFFERED BY NATURALIA EXCHANGE SOLUTIONS ("NATURALIA"). BY CREATING AN ACCOUNT ON WWW.NATURALIAX.COM, ACCESSING OUR SERVICES, OR ENGAGING IN BUSINESS WITH NATURALIA, YOU ("CUSTOMER") AGREE TO BE BOUND BY THESE TERMS (TOGETHER WITH ALL ORDER FORMS, THE "AGREEMENT") TO THE EXCLUSION OF ALL OTHER TERMS. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ENTITY, YOU REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT, YOU MUST NOT USE OR ACCESS THE SERVICES.

  1. Definitions "Services" – Any products, platforms, applications, or services provided by Naturalia, including but not limited to carbon credit trading, offset management, portfolio assessments, and related solutions. "Customer" – Any individual or entity accessing or using the Services. "Order Form" – Any mutually executed document that references these Terms and specifies the Services provided by Naturalia to the Customer. "Personal Information" – Any information that can identify an individual, as defined in the Privacy Policy.

  2. Use of Services (a) Naturalia grants Customer a non-exclusive, limited, personal, non-sublicensable, non-transferable right to use the Services solely for lawful business purposes, in accordance with these Terms and any applicable Order Forms. (b) Customer agrees to use the Services in compliance with all applicable laws and regulations, including those related to data privacy, international communications, and environmental standards.

  3. Carbon Offsets (a) The Services may allow Customer to purchase, trade, or manage carbon offsets ("Offsets") that represent verified reductions or sequestrations of greenhouse gases. Naturalia acts as a facilitator of these transactions, not as a broker or financial advisor. (b) Offsets are subject to availability and verification by third-party registries. Naturalia does not guarantee the availability or value of any specific Offset. (c) Customer acknowledges that any Offset transaction is final and non-refundable once processed, except as required by applicable law.

  4. Account Management (a) Customers are responsible for maintaining the security of their account credentials and for all activities that occur under their account. (b) Naturalia reserves the right to suspend or terminate any account found to be in violation of these Terms or applicable laws.

  5. Fees and Payments (a) Fees for Services shall be set forth in the applicable Order Form. All fees are non-refundable unless expressly stated otherwise. (b) Late payments may incur interest at the maximum rate permitted by law.

  6. Intellectual Property (a) All rights, titles, and interests in the Services, including but not limited to software, platforms, data, and documentation, are owned by Naturalia or its licensors. (b) Customer agrees not to copy, modify, distribute, or create derivative works based on the Services without prior written consent from Naturalia.

  7. Data Privacy and Security (a) Naturalia will handle Personal Information in accordance with its Privacy Policy. (b) Customer agrees to use reasonable measures to protect the security and confidentiality of all Personal Information accessed or stored through the Services.

  8. Term and Termination (a) This Agreement shall remain in effect until terminated by either party as specified in this section. (b) Either party may terminate this Agreement with 30 days’ written notice for any reason. (c) Naturalia may terminate this Agreement immediately upon notice if Customer violates these Terms or applicable laws.

  9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATURALIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES.

  10. Governing Law and Dispute Resolution

    1. Governing Law: This Agreement shall be governed by the laws of the State of Delaware and the United States, without regard to conflict of law principles.

    2. Dispute Resolution: Any disputes arising under this Agreement shall be resolved by binding arbitration in Delaware, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. If arbitration is not required or is unenforceable, the parties consent to the exclusive jurisdiction of the state and federal courts in Delaware.

  11. Amendments Naturalia reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Website or upon direct notification to Customers.
